Upon full payment for services rendered, clients retain ownership of custom-developed software and deliverables created specifically for them, subject to any third-party licenses or agreements.

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your personal or business purposes, subject to these terms.

5. Prohibited Uses

You agree not to use our services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others

• To spam, phish, pharm, pretext, spider, crawl, or scrape

6. Payment Terms

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACKPACK TECH WORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Backpack Tech Works and its officers, directors, employees, and agents from and against any claims, actions, suits, or proceedings, as well as any losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any rights of another party
